HMRC Late Filing Penalties 2026: What Every UK LTD Director Must Know
<![CDATA[
Introduction: Why Filing Deadlines Matter
Running a UK Limited Company (LTD) comes with clear legal obligations. HM Revenue & Customs (HMRC) and Companies House impose automatic penalties for late filings — even if your company is dormant or has zero income. These penalties start from day one of the missed deadline and escalate quickly. As a non-resident director — particularly a Polish entrepreneur managing a UK LTD from abroad — understanding these deadlines is not optional.
The Four Key Filing Obligations
1. Annual Accounts (Companies House)
Deadline: 9 months after your company’s accounting reference date (ARD).
Late filing penalties for private limited companies:
- Up to 1 month late: £150
- 1 to 3 months late: £375
- 3 to 6 months late: £750
- More than 6 months late: £1,500
Double penalties apply if accounts were also late in the previous year.
2. Corporation Tax Return (CT600) — HMRC
Filing deadline: 12 months after the end of your accounting period. Payment deadline: 9 months and 1 day after the period end.
Late filing penalties: £100 (1 day late), £500 (6 months), £1,000 (12 months). HMRC also charges interest on late payments from the due date.
3. Confirmation Statement (Companies House)
Deadline: Annually, within 12 months of incorporation or your last confirmation statement. Failure to file can lead to compulsory strike-off of your company.
4. VAT Returns (If Registered)
Deadline: 1 month and 7 days after each VAT quarter. Points-based penalties under Making Tax Digital — accumulating points leads to £200 per late submission.
