Non-Resident Director of a UK LTD in 2026 — Compliance, Tax & Filing Obligations
Introduction
Running a UK Limited Company (LTD) as a non-resident director is entirely legal and increasingly popular among Polish entrepreneurs, freelancers, and e-commerce operators. The UK offers one of the fastest company formation processes in Europe, a well-respected legal framework, and access to international markets. However, 2026 brings new compliance requirements that every non-resident director must understand.
What Changed in 2026?
The Economic Crime and Corporate Transparency Act (ECCTA) has introduced significant reforms to Companies House operations. The most important changes for non-resident directors include:
1. Mandatory Identity Verification
From 2026, all company directors, Persons with Significant Control (PSCs), and those filing documents with Companies House must verify their identity. This is done through GOV.UK One Login or via an Authorised Corporate Service Provider (ACSP). As a non-resident, using an ACSP like Semper Paratus Legal House LLP streamlines this process significantly — we handle verification as part of our company formation service.
2. Registered Office Address Requirements
Companies House now strictly enforces the requirement for a physical UK registered office address. PO Boxes are no longer accepted. Your registered office must be at an “appropriate address” where documents can be acknowledged. For non-resident directors, this means you must either have a physical UK address or use a professional registered office service (included in our Premium package).
3. Enhanced Filing Compliance
Companies House has strengthened its powers to query, reject, and remove incorrect information. Late filing penalties have increased, and compliance checks are more rigorous. Non-resident directors must be especially diligent with deadlines — you cannot afford to miss filing dates when you’re managing a company from abroad.
Filing Obligations for Non-Resident Directors
Confirmation Statement (CS01)
Every UK LTD must file a Confirmation Statement at least once every 12 months — even if nothing has changed. This confirms that the information held by Companies House is accurate: directors, shareholders, registered office, and PSC details.
Annual Accounts
All UK companies must prepare and file annual accounts with Companies House, regardless of whether they are trading or dormant. Non-resident directors often use micro-entity or small company accounts (FRS 105 or FRS 102). From April 2026, most filings require iXBRL tagging.
Corporation Tax Return (CT600)
Your LTD must file a CT600 with HMRC within 12 months of the end of your accounting period. Even if your company made no profit, you must file. The Corporation Tax rate remains at 19-25% depending on profits. Non-resident directors should also be aware of potential double taxation issues and the UK-Poland Double Taxation Convention.
Tax Considerations for Non-Resident Directors
Corporation Tax Residence
A company incorporated in the UK is automatically UK tax resident. This means your LTD pays UK Corporation Tax on worldwide profits, regardless of where you as director live.
Personal Tax on Director Salary
If you pay yourself a salary as a non-resident director, UK PAYE may apply. However, under the UK-Poland Double Taxation Convention, your salary may only be taxable in Poland if you perform all your duties there. Each case requires individual analysis.
Dividends
Dividends paid by a UK LTD to a Polish-resident shareholder are generally taxable in both jurisdictions, but the UK-Poland Double Taxation Convention provides relief mechanisms. Polish tax residents must declare UK dividends in their Polish tax return (PIT-36) and use the proportional credit method.
