Your LTD Is Registered — What’s Next?
Registering a UK limited company is fast. But once the Certificate of Incorporation arrives, the real work begins. Every LTD — even a dormant one — must meet strict filing obligations with Companies House and HMRC. Missing a deadline can trigger automatic penalties, and repeated failures may lead to your company being struck off the register.
This guide covers everything you need to know about UK LTD annual compliance in 2026.
1. Annual Accounts (Statutory Accounts)
Every limited company must prepare annual accounts and file them with Companies House within 9 months of the accounting reference date (ARD) — i.e., 9 months after the end of your financial year.
Annual accounts typically include:
- A balance sheet
- A profit and loss account (P&L)
- Notes to the accounts
- A directors’ report (unless micro-entity exemption applies)
Micro-entity accounts: Companies meeting 2 of 3 thresholds (turnover ≤£632,000, balance sheet ≤£316,000, employees ≤10) can prepare simplified accounts. This is a major advantage for small international businesses using UK LTD structures.
Penalty for late filing: £150 for up to 1 month late, rising to £1,500+ for delays over 6 months. Penalties double if you’re late two years in a row.
2. Corporation Tax Return (CT600)
Your company must file a CT600 Corporation Tax return with HMRC within 12 months of the end of your accounting period. Note: the payment deadline is earlier — Corporation Tax must be paid within 9 months and 1 day after the end of your accounting period.
Key facts for 2026:
- Corporation Tax main rate: 25% (profits over £250,000)
- Small profits rate: 19% (profits up to £50,000)
- Marginal relief applies between £50,000 and £250,000
- Most small LTDs pay the 19% rate
Even if your company makes no profit (or a loss), you must still file a CT600 — or notify HMRC that no return is due.
3. Confirmation Statement
The Confirmation Statement (formerly Annual Return, form AR01) confirms that your company’s information on the public register is up to date: directors, registered office address, shareholders, SIC codes, and statement of capital.
It must be filed at least once every 12 months. You can file more often if changes occur. The filing fee is £34 (online) or £62 (paper).
4. VAT Returns
If your LTD is VAT-registered (mandatory when taxable turnover exceeds £90,000 in any rolling 12-month period), you must submit VAT returns quarterly via Making Tax Digital (MTD).
- VAT standard rate: 20%
- Reduced rate: 5% (certain goods and services)
- Returns due: 1 month and 7 days after the end of each VAT period

- Personal liability for company debts if trading while dissolved
